DESCRIPTION OF PRACTICE:
Mr. Evans' practice focuses on meeting the wide range of needs of small to medium size businesses. He has specialized expertise and spends the majority of his professional time serving clients in the following areas:
- Mergers and acquisitions - representing buyers and sellers of businesses.
- Strategic alliances - In this era of business focus and specialization, Mr. Evans has played a leading role in negotiating and drafting documents related to strategic alliances and corporate partnering.
- Contracts - Drafting and negotiating a wide variety of contracts affecting a broad spectrum of industries.
- Commercial real estate - representing buyers, sellers, lessors and lessees of commercial real estate.
- Start-up and emerging growth companies - formation of corporations and limited liability companies; drafting of shareholder, operating, partnership and other agreements relating to internal structure; venture capital and other financings.
- Human resources/employer-employee relations - drafting employee handbooks; advising clients on human resource issues; drafting employment, separation and other related agreements.
- Nonprofit and tax exempt organizations - formation of nonprofit corporations; preparation and filing of tax exempt status application with the Internal Revenue Service; preventive advice and counsel on issues and potential liability areas unique to nonprofit entities.
- Computer and technology law - negotiating and drafting software licenses, and software maintenance, distribution, OEM, development, nondisclosure, joint marketing and source code escrow agreements.
Although Mr. Evans does not limit his practice to any particular industries, he has developed specialized client bases in representing automobile dealers and advertising agencies, and other service oriented businesses.
For many years after he began practicing law in 1975, Mr. Evans split his professional time between trying cases and representing clients in business and real estate transactions. Although he has focused exclusively on transactional work since 1988, his trial experience enhances his ability to draft clear, precise documents, foresee and avoid potential liability areas, and provide practical dispute resolution advice. Mr. Evans' ultimate goal is to be a vital member of his clients' business and strategic planning team.

Mr. Evans is a member of the Oregon State Bar, Multnomah Bar Association and Christian Legal Society. He is past Chair of the Continuing Legal Education Committee of the Business Law Section of the Oregon State Bar, and has served on the Executive Committee of the Business Law Section, Disciplinary Rules and Procedures Committee, Ethics Committee and Executive Committee of the Computer Law Section of the Oregon State Bar. In October, 1996, Mr. Evans chaired a seminar for Oregon business lawyers sponsored by the Oregon State Bar, entitled "Advising Business Entrepreneurs." He prepared an article for and lectured at the seminar on Strategic Alliances. Having served as President and CEO of the firm since October 25, 1990, Mr. Evans has been an active participant in a CEO group, which involves several successful Oregon CEO's, since the early 1990's.
Mr. Evans is a present or past board member and active participant in several nonprofit corporations serving our community, including Pacific Northwest Billy Graham Crusade, Portland Business Luncheons, West Hills Christian School, Tualatin Little League, Compassion Ministries and Northwest Christian Community Foundation.
