DESCRIPTION OF PRACTICE:
Mr. Bodie’s practice focuses upon providing transactional and litigation counsel to real estate and business clients on a broad spectrum of issues with which they must deal in order to successfully compete and grow, in today’s economic and regulatory climate.
Mr. Bodie counsels a diverse group of English and Spanish speaking business owners ranging from technology to manufacturing, distribution, real estate and service-based businesses. Mr. Bodie structures business transactions to meet the needs and circumstances of clients whether they be start-up, emerging growth or mature businesses. One aspect of Mr. Bodie’s business practice emphasizes intellectual property, drawing on his 20 plus years of experience to assist clients in the development, acquisition, protection and commercial exploitation of intellectual property spanning the gamut from federal copyright, trademark and servicemark registrations to the identification and safeguarding of proprietary information via creation of trade secret protection programs. Mr. Bodie has represented licensors in the negotiation of software license agreements (in OEM, companywide or end-user contexts) with applications ranging from process control software used in the petrochemical industry to commercial debt recovery. Mr. Bodie has negotiated software development agreements, purchase agreements for design and utility patents, invention assignment agreements. Mr. Bodie has significant experience in the exploitation of manufacturing and/or marketing rights under patent, trade secret or trademark licensing arrangements.
Mr. Bodie has significant experience in the sale and acquisition of business assets or capital stock, joint venture agreements, partnership agreements, and distributorship agreements, both domestic and international. He has negotiated agreements required by start-up, high growth, or mature businesses including employment agreements, nondisclosure/noncompete agreements, commercial loan transactions, equipment purchases/ leases and strategic partner arrangements. Mr. Bodie also counsels clients on business formation and choice of entity.
Mr. Bodie’s substantial experience in real estate transactions encompasses the sale/acquisition/development of commercial property, commercial broker representation and leasing activity ranging from professional offices to commercial, retail, industrial and manufacturing. He has negotiated and prepared agreements to develop commercial and residential real property, including contracts with lenders, architects and contractors. He has experience in §1031 tax deferred exchanges. He has prepared management agreements and other documentation used in commercial real estate brokerage.
Mr. Bodie is also an advocate for and counselor of small businesses and assists his clients on issues unique to them such as managing growth and helping them with the agreements and resources necessary to achieve their objectives. Mr. Bodie speaks Spanish and offers his services and experience to the rapidly growing segment of Spanish speaking business owners.
Mr. Bodie also enjoys counseling business and real estate clients on short and long term strategic planning issues, particularly since he is able to provide the perspective of both a transactional lawyer and a litigator.
Mr. Bodie has extensive real estate and business litigation experience. His real estate litigation experience encompasses foreclosure, (trust deed, mortgage or construction lien) receivership, specific performance, rescission; commercial lease disputes; commercial brokerage and property management issues; fraud; constructive trusts; boundary disputes, and landlord-tenant issues. Mr. Bodie’s business litigation experience includes breach of contract, fraud, breach of fiduciary duty, corporate litigation including takeover issues; provisional process (including temporary restraining orders and preliminary injunctions); intellectual property, including copyright and trademark infringement and misappropriation of trade secrets and Section 1983 Civil Rights actions filed by businesses.

PROFESSIONAL ACTIVITIES:
Mr. Bodie is admitted to practice in Oregon and Washington. He is a member of the Multnomah Bar Association, Oregon and Washington State Bars and the business, real estate and land use and intellectual property sections of such bars.
COMMUNITY INVOLVEMENT:
Mr. Bodie is a member of the Portland Business Alliance and serves on that organizations small business council. He is a past member of the Social Action Committee of Temple Beth Israel and is active in temple activities. He was formerly co-chair of the Leadership Development Committee of the Jewish Federation of Portland.
Mr. Bodie’s personal interests include spending time with his wife and three children swimming, skiing, traveling, hiking, camping, snorkeling, golfing, fishing, as well as reading, writing and playing piano.
