DESCRIPTION OF PRACTICE:
Kelly Meltzer counsels and represents clients in various corporate matters, commercial transactions and disputes involving primarily closely-held businesses. Mr. Meltzer focuses on business acquisitions, corporate financing, and employment matters. He has helped clients form numerous corporations and limited liability companies, and he regularly reviews, prepares and negotiates letters of intent, asset purchase and sale agreements, merger agreements, stock purchase agreements, loan agreements, security agreements, promissory notes, buy-sell agreements, LLC operating agreements, employment agreements, non-competition agreements, employee handbooks, separation agreements, independent contractor agreements and other such corporate, commercial, and employment documents. Mr. Meltzer’s transactional practice benefits from the valuable litigation experience he acquired in his first few years with the firm.
